BioBuilder Agreement, Waiver and Release

READ CAREFULLY AS THIS INCLUDES A WAIVER AND RELEASE OF LIABILITY

The participant, student, teacher or assistant identified below (the “Participant”) has requested the opportunity to participate in a program (the “Educational Program”) that includes, among other things, lectures and discussions with BioBuilder Educational Foundation (“BioBuilder”) to further the Participant’s educational goals and objectives and to advance the Participant’s knowledge in science.

In consideration of being allowed to participate in the Educational Program, the undersigned Participant – or if the Participant is a minor, the undersigned on behalf of the Participant – has read this BioBuilder Agreement, Waiver and Release (the “Agreement, Waiver and Release”) in its entirety, and agrees as follows:

  1. The Participant will strictly adhere to all applicable rules, regulations, general decorum, and policies and procedures relating to conduct that may be set by BioBuilder, including with respect to any illicit substances. The Participant’s participation in the Educational Program is by invitation of BioBuilder only, and BioBuilder, in its sole discretion, may terminate the Participant’s participation in the Educational Program at any time for any reason.
  2. To the best of the undersigned’s knowledge, the Participant is in good health and has no physical or mental condition that would render the Participant’s participation in the Educational Program medically inadvisable.
  3. General Assumption of Risk, Responsibility and Waiver:
    1. The undersigned acknowledges that the Participant is participating in the Educational Program at their own risk and expressly assumes all such risk and responsibility for any damages, liabilities, losses, or expenses incurred as a result of or in connection with the Participant’s participation in the Educational Program. The undersigned acknowledges that BioBuilder is not an insurer of the Participant’s health and safety and does not assume responsibility for spontaneous and unforeseen events that may occur during participation in the Educational Program.
    2. The undersigned waives and agrees to release and hold harmless BioBuilder and its directors, administrators, employees, representatives, volunteers, agents (each, a “BioBuilder Affiliate”, and collectively, the “BioBuilder Affiliates”) from any and all liability, claims, demands, causes of action, injury, damages, loss or expense which may arise out of, result from, or relate to the Participant’s participation in the Educational Program, including claims for liability caused in whole or in part by the negligence of BioBuilder, BioBuilder Affiliates, or other participants of the Educational Program.
  4. Transportation:
    1. The undersigned acknowledges and agrees that unless BioBuilder or a BioBuilder Affiliate will provide the Participant transportation to and from the Educational Program, the undersigned will be responsible for arranging the Participant’s transportation to and from the Educational Program.
    2. To the extent the undersigned is responsible for the Participant’s transportation, the undersigned assumes all risk of injury, harm or damage to the Participant’s person or property arising during or in connection with transportation to and from the Educational Program. The undersigned releases and agrees to indemnify, defend and hold harmless BioBuilder and the BioBuilder Affiliates from all liability, claims, demands, causes of action, injury, damages, loss or expense which may arise out of, result from, or relate to any loss, damage, injury or harm to the Participant in connection with any transportation to or from the Educational Program.
    3. In the event the undersigned provides transportation to or from the Educational Program on behalf of another Participant(s), the undersigned acknowledges and agrees that such transportation is at their own risk and that they assume all risk of injury, harm or damage to the Participants’ person or property, or any third party’s person or property, in connection with such transportation. The undersigned also represents and warrants that they have both a valid driver’s license and automobile insurance coverage in effect when the Educational Program takes place.
  5. Medical Care:
    1. Should the Participant require emergency care while participating in the Educational Program, the undersigned grants permission to BioBuilder and BioBuilder Affiliates to provide such emergency care and treatment that, in their judgment, may be deemed necessary or advisable. The undersigned agrees to defend, indemnify and hold harmless BioBuilder and BioBuilder Affiliates from any and all liability in connection with such medical treatment.
    2. The undersigned further consents for the Participant to be transported to an emergency medical care center if the need arises. The undersigned, not BioBuilder, will be responsible for the cost of such emergency care and treatment and for any treatment or care, including associated costs, required by the Participant beyond the emergency status.
  6. Food and Beverages:
    1. Food and beverages may be served at the Educational Program. The undersigned agrees that they, not BioBuilder, are solely responsible for determining the suitability of any food or beverage offered to the Participant, including with respect to any allergies Participant may have. The undersigned assumes all such risk and responsibility with respect to any allergic reactions, sickness or injury arising out of or related to the consumption of food and beverages offered during the Educational Program. The undersigned waives and agrees to release and hold harmless BioBuilder and BioBuilder Affiliates from any and all liability, claims, demands, causes of action, injury, damages, loss or expense which may arise out of, result from, or relate to the Participant’s consumption of food and beverages offered during the Educational Program.
  7. Consent for Use of Likeness:
    1. For and in further consideration of Participant’s ability to participate in the Educational Program, the undersigned agrees that BioBuilder and BioBuilder Affiliates may photograph, videotape, or otherwise record the Participant’s image, voice, and/or conversations (the “Participant’s Likeness”) during the Educational Program, in printed, electronic, or other media form, now known or hereafter developed. The Participant’s Likeness may be used by BioBuilder and BioBuilder Affiliates in printed or electronic publications or communications, websites, social media, or other means of distribution or transmission now known or hereafter developed, for any lawful purpose, including for public relations, fundraising, promotional, recruitment, or educational materials. The undersigned waives any right to inspect or approve of any such media prior to use or dissemination and authorizes the use of the Participant’s Likeness in perpetuity and without any compensation to the undersigned and/or the Participant. The undersigned assigns all right, title, and interest in and to all such media capturing the Participant’s Likeness to BioBuilder and agrees that all such media shall be owned by BioBuilder.
  8. This Agreement, Waiver and Release is legally binding, made voluntarily by the undersigned on their own behalf or on behalf of their minor child, and on behalf of heirs, executors, administrators, legal representatives and to the BioBuilder Educational Foundation. The undersigned is aware that by agreeing to this Agreement, Waiver and Release the undersigned and Participant are giving up valuable legal rights, including the right to recover damages from BioBuilder in case of illness, injury, death or property loss or damage at the Educational Program and any illness, injury or death resulting therefrom. The undersigned understands that this document is a promise not to sue and a release of all claims. The undersigned agrees that this Agreement, Waiver and Release is intended to be as broad and inclusive as permitted by applicable law and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full force and legal effect. If signing on behalf of a minor, the undersigned understands that this Agreement, Waiver and Release is made on behalf of their minor child(ren) and/or legal wards and the undersigned represents and warrants to BioBuilder that the undersigned has full authority to sign this agreement on behalf of such minor(s).
  9. The undersigned understands that if a refund is owed due to cancellation of the Educational Program, a refund less applicable processing fees will be issued.
